By-Laws Revised May 28, 2009 CONSTITUTION ARTICLE 1 – Name The name of this club shall be: THE SERVICE CLUB OF GLASTONBURY
ARTICLE II – Object
The objects of the club shall be:
1.To promote interest in civic affairs and to further the general welfare of the town. 2.To promote good fellowship and be of service.
BY-LAWS
ARTICLE I – Officers
Section 1. The officers of the club shall be President, Vice President, Secretary, Treasurer who shall be elected at the annual meeting and whose duties shall be those usually incumbent upon the respective office held. Such officers shall serve for one year, or until their successors are elected. Section 2. The President shall be the presiding officer and in his absence or inability to act, the Vice President shall preside. The President shall appoint an Auditor, a Program Committee and a Finance Committee including the Treasurer, the Phone Book Chairman and the Finance Committe Chairman. All committee members to be appointed on or before July 1. Said committee shall serve until the next annual meeting. Section 3. All requests for donations shall be referred to the Finance committee, who shall report their recommendations not later than the next club meeting. Section 4. It shall be the duty of the Projects Committee to study and recommend to the club suitable projects to be undertaken.
ARTICLE II – Meetings
Section 1. The evening meetings of the club shall be held the second and fourth Thursdays of each month, commencing the second Thursday of September to and including the second Thursday of June. Any meetings or meeting may be omitted or date thereof changed by vote of the club. Section 2. The second meeting in May shall be the annual meeting. Prior to this, a Nominating Committee consisting of 5 club members shall be formed, two to be appointed by the President from the Executive Committee and three to be chosen by the membership at a regular meeting of the club. Section 3. It shall be the duty of the Program Committee to arrange the program for the club year and to appoint a Chairman and CoChairman for each meeting.
ARTICLE III – Membership
Section 1. The membership of the club shall be limited to 60 active members. An active member is a member that has paid his dues in full. Section 2. Nominations for membership shall be personally made to the President, who shall report them on the floor at the next regular meeting of the club. The Secretary shall notify each member by mail of such nominations. The vote shall be taken in the order of nomination at the next regular meeting following the President’s report. Said vote shall be by secret ballot and a favorable vote of 75 percent of the members present shall suffice to elect a candidate to membership until the membership limit of 60 is reached. Section 3. Initiation fee shall be $10.00. Section 4. On being accepted as a member of the club said person shall be notified at once by the Secretary or some other member designated by the President and shall signify his acceptance within four weeks from the date of his election.
ARTICLE IV – Dues
The annual dues of the club shall be $40.00 except for new members joining after January 1, when the dues shall be $20.00 for the balance of the club year.
ARTICLE V –(Resvered)
ARTICLE VI – Publicity
All Publicity relative meetings and actions of the club shall be in charge of the President.
ARTICLE VII – Amendments
The By-Laws may be amended or added to by a two-thirds vote of the members present and voting. Each proposed amendment or addition shall be placed on the table over one meeting and the Secretary shall notify each member by mail of the proposed amendment or addition.
ARTICLE VIII – Quorum
A simple majority present at any scheduled meeting, with mail notice of the meeting, shall constitute a quorum. This requirement is to be reviewed annually by the Executive Committee. When a quorum is present all properly voted motions commit the entire membership to the action taken by those present just as through all members were present and voting.
ARTICLE IX – Honorary Members
Section 1. Any members in good standing, who have been active member for at least 25 years and who have good and sufficient reasons for relinquishing their active membership, may, upon application to the President and approval by the Executive Committee, become a Honorary Member. Section 2. Any active member in good standing may present the name of a person for honorary membership, at any regular meeting. Such person, other than a member qualifying under Section 1 of this article, may be elected an Honorary Member of the Service Club only by a unanimous vote of the members present at the next regular meeting of the club. Section 3. Honorary member’s shall not vote. They shall not be required to attend meetings. Section 4. Honorary members shall be notified of their election by the President of the Service Club in person, or by some active member he may designate.
ARTICLE X – Dissolution
Section 1. The club may be dissolved by at least a two-thirds vote of the entire active membership, either in person or by proxy. Any dissolution proposal shall be approved by the Executive Committee and advance notice given to all members. Section 2. Upon dissolution, all monetary assets will be disbursed to non-profit origazations in and for the Town of Glastonbury by the President and Executive Committee within one year following dissolution.
